Terms of Service for Nxly

These Terms of Service (“Terms”) govern your access to and use of Nxly, including our website, mobile application, features, content, and related services (collectively, the “Service”).
Nxly is operated by an independent developer. In these Terms, “Nxly,” “we,” “us,” and “our” refer to the operator of Nxly.
By accessing or using Nxly, you agree to these Terms. If you do not agree to these Terms, you may not access or use Nxly.
1. Eligibility
You must be at least 13 years old to use Nxly.
If you are under the age of majority where you live, you may use Nxly only with permission from a parent or legal guardian. By using Nxly, you represent and warrant that you meet these eligibility requirements.
2. Your Account
Some parts of Nxly may require you to create an account.
You agree to provide accurate, complete, and current information when creating or using your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify us if you believe your account has been accessed or used without permission.
We may suspend or terminate your account if we believe you have violated these Terms, created risk for Nxly or other users, or used the Service in a harmful, abusive, or unlawful way.
3. Privacy

4. Use of Nxly
Subject to these Terms, Nxly grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
You may not use Nxly in any way that violates these Terms or any applicable law.
5. Prohibited Conduct
You agree not to:
- use Nxly for illegal, harmful, abusive, fraudulent, or deceptive purposes;
- harass, threaten, abuse, impersonate, or harm another person;
- upload, submit, create, or share content that is unlawful, hateful, abusive, defamatory, obscene, sexually explicit, violent, misleading, or otherwise harmful;
- violate another person’s privacy, publicity, intellectual property, or other rights;
- attempt to hack, disrupt, overload, damage, reverse engineer, scrape, crawl, or interfere with Nxly;
- upload viruses, malware, harmful code, or anything intended to disrupt or damage Nxly or another user’s device;
- bypass, disable, or interfere with security, access control, usage limits, or payment features;
- use Nxly to send spam, scams, phishing attempts, or misleading content;
- use Nxly in a way that could damage, disable, overburden, or impair the Service;
- use Nxly to collect information about other users without permission;
- encourage, assist, or enable anyone else to do any of the above.
We reserve the right to investigate and take appropriate action against any use that we believe violates these Terms.
6. User Content
Nxly may allow you to upload, submit, create, store, post, display, transmit, or share content, including text, images, files, messages, prompts, responses, or other materials (“User Content”).
You retain ownership of your User Content.
By submitting User Content to Nxly, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, reproduce, and use your User Content only as necessary to operate, maintain, provide, improve, secure, and protect Nxly.
You are responsible for your User Content. You represent and warrant that:
- you own your User Content or have the necessary rights to submit it to Nxly;
- your User Content does not violate these Terms;
- your User Content does not violate any law;
- your User Content does not violate the rights of any person or organization.
We may remove, limit, restrict, or delete User Content if we believe it violates these Terms, applicable law, or the rights of others.
7. Nxly Content and Ownership
Nxly, including its software, design, features, functionality, branding, logos, text, graphics, interfaces, and other content, is owned by us or our licensors and is protected by intellectual property and other laws.
These Terms do not give you ownership of Nxly or any rights in our trademarks, branding, software, content, or other intellectual property.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or create derivative works based on Nxly unless we give you written permission or applicable law allows it.
8. Feedback
If you send us ideas, suggestions, comments, bug reports, feature requests, or other feedback about Nxly, you agree that we may use that feedback without restriction, obligation, or compensation to you.
You are not required to provide feedback, but if you do, we may use it to improve, modify, market, or develop Nxly.
9. Third-Party Services
Nxly may contain links to, integrate with, or rely on third-party websites, platforms, tools, services, software, payment processors, analytics providers, cloud providers, or content.
We do not control third-party services and are not responsible for their content, policies, security, availability, accuracy, or practices.
Your use of third-party services may be governed by their own terms and privacy policies.
10. Payments, Subscriptions, and Purchases
Some features of Nxly may require payment, a subscription, credits, or in-app purchases.
If you purchase a paid feature, you agree to pay all applicable fees, charges, and taxes. Payments may be processed by third-party platforms or payment providers, including but not limited to Apple, Google, Stripe, or another provider.
Your purchase may be subject to the terms, billing rules, refund rules, and cancellation procedures of the platform or payment provider used to complete the transaction.
Unless required by law or by the applicable platform’s rules, payments are non-refundable.
We may change prices, features, plans, or subscription options from time to time. Any changes will apply as allowed by law and by the rules of the applicable payment platform.
You are responsible for managing and canceling subscriptions through the platform where you purchased them, such as your Apple App Store account, Google Play account, or other payment provider account.
11. No Professional Advice
Nxly is provided for general informational, productivity, entertainment, creative, or personal-use purposes only.
Nxly does not provide legal, financial, medical, mental health, tax, safety, or other professional advice. You should not rely on Nxly as a substitute for professional advice.
You are responsible for your own decisions, actions, and results based on your use of Nxly.
12. Accuracy and AI-Generated or Automated Content
Nxly may include automated, algorithmic, or AI-assisted features.
You understand that outputs, suggestions, recommendations, summaries, or other content generated or provided through Nxly may be inaccurate, incomplete, outdated, or unsuitable for your situation.
You are responsible for reviewing and verifying any information before relying on it. We do not guarantee the accuracy, completeness, reliability, usefulness, or safety of any content generated or provided through Nxly.
13. Availability and Changes to Nxly
We may update, modify, suspend, limit, or discontinue Nxly, or any part of it, at any time without notice.
We do not guarantee that Nxly will always be available, uninterrupted, secure, or error-free.
We may also limit access to certain features or restrict access to Nxly for any user if we believe it is necessary to protect the Service, users, third parties, or ourselves.
14. Termination
You may stop using Nxly at any time.
We may suspend or terminate your access to Nxly at any time if we believe:
- you violated these Terms;
- your use of Nxly creates legal risk;
- your use harms Nxly, other users, third parties, or us;
- we are required to do so by law;
- continuing to provide the Service is no longer practical or commercially reasonable.
After termination, some sections of these Terms will continue to apply, including sections about ownership, feedback, disclaimers, limitation of liability, indemnification, disputes, and other provisions that by their nature should survive termination.

Please include:
- your name and contact information;
- a description of the copyrighted work you believe was infringed;
- a description or location of the allegedly infringing content;
- a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent, or the law;
- a statement that the information you provide is accurate;
- your physical or electronic signature.
We may remove or restrict access to content that we believe may infringe copyright or violate the rights of others.
16. Disclaimer of Warranties
Nxly is provided “as is” and “as available.”
To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.
We do not guarantee that:
- Nxly will meet your expectations;
- Nxly will be uninterrupted, error-free, secure, or available at all times;
- any content or information provided through Nxly will be accurate, complete, reliable, or current;
- any defects or errors will be corrected;
- Nxly will be free of viruses, malware, or harmful components.
You use Nxly at your own risk.
17. Limitation of Liability
To the fullest extent permitted by law, Nxly and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, service interruption, device damage, business interruption, or other losses arising from or related to your use of Nxly.
To the fullest extent permitted by law, our total liability for any claim related to Nxly or these Terms will not exceed the greater of:
- the amount you paid to use Nxly during the three months before the claim arose; or
- $100 USD.
Some jurisdictions do not allow certain limitations of liability, so some of the above limits may not apply to you.
18. Indemnification
You agree to defend, indemnify, and hold harmless Nxly and its operator from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- your use of Nxly;
- your User Content;
- your violation of these Terms;
- your violation of applicable law;
- your violation of another person’s or organization’s rights.
19. App Store Terms
If you download Nxly through the Apple App Store, Google Play Store, or another app marketplace, your use of Nxly may also be subject to that marketplace’s terms, conditions, and policies.
The app marketplace is not responsible for providing support, maintenance, warranties, or handling claims related to Nxly, except as required by applicable law or the marketplace’s own rules.
You agree to comply with all applicable third-party terms when using Nxly.
20. International Users
Nxly is operated from the United States.
If you access or use Nxly from outside the United States, you are responsible for complying with the laws that apply to you where you live or use the Service.
You may not use Nxly if doing so would violate applicable laws or regulations.
21. Changes to These Terms
We may update these Terms from time to time.
When we make changes, we will update the “Effective Date” above. If changes are significant, we may provide additional notice, such as through the app, website, or email.
Your continued use of Nxly after the updated Terms become effective means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using Nxly.
22. Governing Law
These Terms are governed by the laws of the State of California and the laws of the United States, without regard to conflict-of-law rules.
If any dispute arises from or relates to these Terms or Nxly, the parties agree to first try to resolve the dispute informally by contacting each other.

23. Severability
If any part of these Terms is found to be invalid, illegal, or unenforceable, the rest of the Terms will remain in effect.
The invalid or unenforceable part will be interpreted as closely as possible to the original purpose, to the extent permitted by law.
24. No Waiver
If we do not enforce a part of these Terms, that does not mean we waive our right to enforce it later.
Any waiver must be in writing to be effective.
25. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms that apply to specific features, make up the entire agreement between you and Nxly regarding your use of the Service.
